1. Definitions

Where you see any terms as set out in clause 1 used in the main body of the Terms, they shall have the exact meanings given to them here.

“Apolitical”, “We”, “Us” or Our means Apolitical Group Limited, a company registered in England and Wales with Company Number 09812036 whose registered address is at 20-22 Wenlock Road, London, N1 7GU;

“Access Code” means the code provided by an organisation/ institution to an Institutional User allowing access to the Premium Services;

“Access Link” means the link provided by an organisation/ institution to an Institutional User allowing access to the Premium Services;

“Apolitical Content” means content on the Website which is owned or licensed by Apolitical;

“Applicable Laws” means all applicable laws and regulations including local laws in your country of residence;

“Content” means data, text, files, images, videos, photos or profiles or other material uploaded via the Service for public view by any User;

“Individual User” means a User other than an Institutional User;

“Institutional User” means a User who has been provided with an Access Code by an organisation/institution to which they are affiliated (whether as an employee, agent, consultant etc.);

“Marks” means the Apolitical name, logo and service marks;

“Premium Services” means the premium services to which You may subscribe in accordance with clause 6 or clause 8 as provided by Us to You pursuant to these Terms via the Website. The benefits applicable to Our Premium Services (as may be updated or changed from time to time) can be found on the Website;

“Privacy Policy” means our privacy policy which can be found at https://about.apolitical.co/privacy-policy (as We may update such policy from time to time);

“Registration Data” means the information You provide to Us in order to become a User;

“Service” means accessing and interacting with our Website which is a multimedia website, publishing, educational and networking platform and email update service, all of which support professional social networking, collaboration and the sharing of information and ideas across government, public services and the public sector including uploading Content and downloading information as well as using any applications we may make available to You, and includes both the Standard Services and the Premium Services;

“Standard Services” means that part or parts of the Service provided by Us free of charge to You pursuant to these Terms via the Website;

“User” means any registered user of the Service;

“Website”  means our website at https://apolitical.co

“You” or “Your” means a person using, or wishing to use, the Service.

2. Introduction

At Apolitical Our core value is ‘public service first’. We place paramount importance on maintaining Your trust, protecting Your personal data, and the quality of Our Service. These Terms set out how we expect Our Service to be used by Our Users. We will provide notice of any material updates to these Terms on Our Website, as well as via e-mail. Please do not hesitate to contact Us with any questions at concierge@apolitical.co.

  1. By using the Service You agree to be bound by these Terms and Our Privacy Policy as a User of the Service. If you do not agree to these terms, you must cease use of this website immediately.
  2. We reserve the right to update these Terms from time to time. If We make any material changes We will endeavour to notify You by email (sent to the email address specified in Your account) or by means of a prominent notice on the Website prior to the change becoming effective. An updated version of the Terms, once uploaded to the Website, will be effective immediately. If You do not agree with the Terms, You must stop using the Service immediately. If You have any queries about the Service or the Terms, You can contact Us using the details as set out in clause 19 of these Terms.
  3. You are responsible for making all arrangements necessary for You to have access to the Service. We cannot guarantee that the transmission of any information over Your internet connection will be secure nor can We guarantee that the Service will be compatible with any or all hardware and software that You may use to visit the Website.
  4. Access to, and the use of, some parts of the Service may be restricted to selected Users only (for example, owners or facilitators of groups or networks to control access to their groups or networks), and You may require their prior approval to join such groups or networks.
  5. We may, at Our sole discretion, (i) refuse to register You as a User (ii) limit access to all or part of the Standard Services to certain Users, or (iii) terminate the access of a User to the Standard Services, in each case without providing reasons for doing so.
  6. Although You register to use the Service as an individual, You are participating in Your work capacity. Therefore, please make sure that You are aware of, and comply with, Your employer’s (past or present) information and other policies regarding participating in collaboration platforms with access to social media tools.
  7. Further, by registering to use the Service You acknowledge and agree that You are doing so either wholly or mainly in connection with Your trade, craft, business or profession. You further acknowledge and agree that You are not registering to use the Service for any private use and that You understand consumer law will not apply to the contract formed between You and Us for Your use of the Service.
  8. The “plain English” explanations displayed next to these Terms are for information purposes only. They shall not form part of the agreement between You and Us, nor shall they have any contractual force or effect. Where any conflicts arise, the Terms shall prevail.

3. General terms in relation to conduct & use

Upon registering with Us, You agree that the service should not be used:

  • For commercial gain without prior consent.
  • For illegal activity or as a means to gain unauthorised access to the system or networks.
  • As a means to modify or adapt the pages comprising the service.

a) By registering for the Service We grant You a non-transferable, non-exclusive, revocable, non-sub-licenseable licence to use the Standard Services through a generally available web browser, mobile device or authorised application, for Your personal use (albeit in connection with Your trade, craft, business or profession). The Service must not be used by You for any commercial gain without Our prior written consent. When You use the Service You must comply with these Terms and all Applicable Laws. In particular, but without limitation, You agree not to:

  1. use the Service in any unlawful manner, or in a manner which promotes or encourages illegal activity including (without limitation) copyright infringement; or
  2. attempt to gain unauthorised access to the Service or any networks, servers or computer systems connected to the Service; or
  3. modify, adapt, translate or reverse engineer any part of the Service or re-format or frame any portion of the pages comprising the Service, save to the extent expressly permitted by these Terms or by Applicable Law.

These Terms are binding on all Users even if You are using it on behalf of an organisation that has a separate agreement with Us.

b) If you are using the Service on behalf of a public authority, a company or any other legal entity You are bound by these Terms, even if that organisation has its own separate agreement with Us.

You must be 18 or over.

c) You must be at least 18 years old to use the Service.

You are responsible for the activity on Your account, including any Content You may post. Any Content may be subject to removal or editing. Removed Content may continue to be stored by Us to comply with legal obligations.

d) You are solely responsible for any activity that occurs through use of Your account with the Service.

e) You are solely responsible for any Content You may upload. We may remove, edit, block, disable or monitor any Content or User accounts in relation to the Service at any time, without notice. Content removed from the Service may continue to be stored by Us, including, without limitation, in order to comply with certain legal obligations.

Should Your account be disabled, please ask Our permission before creating another.

f) If we disable Your account with the Service You will not create another one without Our permission. You use the Service at Your own risk.

We do not tolerate posts with discriminatory or defamatory Content on the platform.

g) You must not post violent, offensive, defamatory, abusive, vulgar, racist, threatening, discriminatory, unlawful, infringing, damaging or sexually suggestive Content via the Service.

You should ensure that Your account remains secure. You may be responsible for any Content posted from Your User account.

h) You must keep Your account, and any relevant passwords or other means of access to the platform, secure. We are not responsible for any Content that You upload or for any conduct of You as the User. Apolitical does not have any obligation to pre-screen or monitor, or remove any Content, however We may do so. If Your Content breaches these Terms, You may bear legal responsibility for that Content.

Should You suspect Your password is known by another person, contact Us immediately.

i) If You know or suspect that Your password has been disclosed to another person You must immediately contact Us to let Us know and change Your password. We have the right to disable Your username and password at any time if in Our opinion We believe that Your account has been compromised or if You have failed to comply with any of the provisions of these Terms.

While We require all Users to present accurate information about themselves on the platform, We are not liable for false or misleading statements made by them.

j) While We attempt to verify the identity of Users, You should not assume that the details of Users provided on the Service are accurate or complete. We are not liable for false or misleading statements made by any User.

We grant access to the service on the condition that You:

  • Provide and maintain accurate information about yourself.
  • Post or use Content which complies with Our instructions and the law.
  • Accept responsibility for all actions taken under Your User account.
  • Do not create additional Users in order to abuse the service.
  • Do not seek to pass yourself off as somebody else.
  • Do not intentionally allow another individual access to your account.

k) We allow You to access to the Service as a registered User on the following terms, to which You agree:

  1. You must provide accurate, current and complete Registration Data;
  2. You may only use the Service to post, use or send Content and messages that comply with Our instructions and which are legal under Applicable Law and appropriate to the Service;
  3. You must maintain and promptly update the Registration Data, and any other information You provide to Us, to keep it accurate, current and complete;
  4. if You cease to work within the organisation which You indicated at the time of registration You worked for, You must immediately update Your Registration Data;
  5. You take responsibility for all actions taken under Your username and password;
  6. You must not create additional registered User accounts for the purpose of abusing the functionality of the Service or other Users; and
  7. You must not seek to pass Yourself off as another person or User.
  8. You must not intentionally or knowingly provide account access information, including any coupon codes, access codes, or access links, to another individual or Third Party.

As a User of the service, You must not:

  • infringe the legal rights or intellectual property of others.
  • misrepresent yourself or use the service for commercial purposes unless given prior consent.
  • post any unsolicited advertising.
  • post anything containing software viruses or similar malicious Content.
  • use scripts to collect information or alter the service.
  • register for more than one account.
  • post any personal or sensitive material concerning others.
  • share any confidential or sensitive information, nor any information subject to a non-disclosure or confidentiality agreement

l) You must not do any of the following:

  1. use the Service to defame, abuse, harass, stalk, intimidate, threaten or otherwise infringe the legal rights (such as rights of privacy or intellectual property rights where applicable) of others;
  2. in using the Service, impersonate any other person or entity, whether actual or fictitious or falsely state or otherwise misrepresent Yourself, Your age or Your affiliation with any person or entity or use or attempt to use another User’s account;
  3. use the Service for commercial purposes unless We have given You prior written authorisation to do so, for which We may require You to pay a fee, and in particular You may not sell or advertise any goods or services on the Service unless We have first granted You a licence to do so and have received payment of the appropriate licence fee from You;
  4. use the Service to upload, post, transmit, share or otherwise make available any unsolicited advertising (although You may upload non-commercial events You think may be of interest to other Users acting in their professional capacity), unauthorised advertising, solicitations, promotional materials, “junk mail”, “spam”, “chain letters”, “pyramid schemes”, or engage in any other form of solicitation; upload, post, transmit, share or otherwise make available Content unless You are sure there are no restrictions (such as copyright) on Your ability to do so;
  5. use the Service to upload, post, transmit, share or otherwise make available any material that contains software viruses or any other computer code, corrupted files, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; delete any required author attributions, legal notices or proprietary designations or labels in, or falsify the origin or source of, any material that is uploaded;
  6. use automated scripts to collect information from or in any way seek to change the Service or otherwise interact with the Service;
  7. register for more than one User account, register for a User account on behalf of an individual other than Yourself, or register for a User account on behalf of any group or entity; or
  8. share any sensitive, secret or confidential information, especially that obtained from a government service on this platform. This includes that pertaining to any government pending action or inaction or knowledge. You will honour any agreements, contracts or other legal obligations you have surrounding the non-disclosure of any official, confidential or sensitive information.

Your account may be deemed inactive and deactivated if it is unused for six months.

m) You should be aware that if You do not access the Service for a period of six (6) months or more, Your account will be deemed inactive and may be deactivated and deleted without any notice to You.

4. Content

The service should be accessed at Your discretion. We are not liable for any Content which may be considered offensive – though please tell Us if You see any such Content.

It is Your responsibility to ensure that Content You post does not infringe upon the rights of any third party or breach any contract or arrangement You have with them.

a) You understand that by using the Service, You may encounter Content that may be deemed offensive. You use the Services at Your own risk and We shall not have any liability to You for Content You may find offensive.

It is Your responsibility to ensure that Content You post does not infringe upon the rights of any third party or breach any contract or arrangement You have with them.

b) You represent and warrant that:

  1. You have the right to post any Content posted by You via the Service;
  2. the posting and use of Content by You on the Service does not infringe or misappropriate the rights of any third party;

Please note that any Content posted on the service will be non-confidential and may be viewed by other Users.

c) Any Content posted by You on the Service will be non-confidential and may be viewed by other Users. We are permitted to view, copy and analyse any Content uploaded by You for any purpose.

While We work Our very best to maintain the quality of the service, much of the Content on the service is User generated so We cannot warrant the accuracy or quality of the Content posted.

d) Much of the information, data, text, software, photographs, graphics, messages, tags, ideas, concepts, tags, forum posts, datasets, techniques and/or any other material on the Service is generated by Users. It may be out of date, inaccurate or incomplete, and We make no commitment to update or remove Content posted by any User. We do not warrant the accuracy, completeness, integrity or quality of any Content on the Service.

Content on the service is for information purposes only and should not be considered advice. You are responsible for any decisions taken based on the Content of the service.

e) All information contained on the Website (including Content) is for information purposes only and (i) must not be regarded as constituting advice or recommendations (professional or otherwise) and (ii) should not be relied on without taking independent advice. You are solely responsible for any decisions You take based on Your own Content and information contained on the Website (including Content). We disclaim all liability and responsibility arising from any reliance You may place on any information contained on the Website (including Content).

The service contains Apolitical Content which is protected by copyright, trade mark and patent to which Apolitical owns the rights. This Content must not be reproduced, modified or adapted, nor should the copyright, trade mark or patent be concealed or altered.

f) The Service also utilises certain Apolitical Content. Apolitical Content is protected by copyright, trade mark, patent, trade secret and other laws, and, as between You and Apolitical, Apolitical owns and retains all rights in the Apolitical Content and the Service. You will not remove, alter or conceal any copyright, trade mark, service mark or other proprietary rights notices incorporated in or accompanying the Apolitical Content and You will not reproduce, modify, adapt, prepare derivative works based on, perform, display, publish, distribute, transmit, broadcast, sell, license or otherwise exploit the Apolitical Content, other than as expressly permitted under these Terms.

The Apolitical name, logo and service marks cannot be used, edited, published, distributed or commercially exploited without Our prior consent.

g) The Marks and are owned by Us. You are not permitted to use, edit, vary, display, publish, distribute, store or commercially exploit the Marks without Our prior written consent.

You are solely responsible for Your communications with other Users.

h) You may also be able to communicate with other Users through the Service and You acknowledge that You are solely responsible for those communications. We are not responsible for the behaviour, activities or opinions of any Users.

Other Users may use the ideas and information that You share via the service.

We are not responsible for other Users’ use (or misuse) of the Content You post. So please do not post any information You would like to be kept confidential.

i) The Service offers various ways for You to post Your observations and comments on designated topics. It also allows Users to share information by allowing them to post updates, including links to news articles and other Content to other parts of the Website. Users can apply to create groups; however, We may (in Our sole discretion) close or transfer groups that have been inactive for a period of time, or remove Content if the Content breaches these Terms or infringes third party intellectual property rights. Ideas and information that You post and share may be seen and used by other Users. We cannot guarantee that other Users will not use the ideas and information that You share on the Service. Therefore, if You have an idea or information that You would like to keep confidential or do not want others to use, or that is subject to third party rights that may be infringed by Your sharing it, do not post it to any group, or elsewhere on the Service. We are not responsible for any other person’s misuse or misappropriation of any Content or information You post on the Service.

By posting Content on the service You allow Us to use, adapt and commercialise Your Content for the purpose of providing the best service to Users and promote the specific community to which the Content was made available.

j) By uploading Content on to the Service You grant Us (and Our agents, successors and assignees) an irrevocable, fully paid-up and royalty-free, perpetual licence (with the right to sub-licence and to assign) to use, prepare derivative works of, improve, distribute, publish, reproduce, modify, adapt, remove, retain, add, process, analyse, use and commercialise Your Content via the Service in any way now known or discovered in the future for the purpose of providing the Service to Users and promoting the specific community or other part of the Service to which such Content was made available.

Apolitical are not responsible for any third party services which might be accessible via links, images or functionality of the service.

k) There may be links from the Service, or from communications You receive from the Service, to third-party websites or features. There may also be links to third-party websites or features in images or comments within the Service. The Service also includes third-party Content that We do not control, maintain or endorse. Functionality of the Service may also permit interactions between the Service and a third-party website or feature, including applications that connect the Service or Your profile on the Service with a third-party website or feature. You may be enabled to share Content from the Service, or Your Content, with a third party, which may be publicly posted on that third party’s service or application. Apolitical does not control any of these third-party web services or any of their Content. You expressly acknowledge and agree that Apolitical is in no way responsible or liable for any such third-party services or features.

5. Upgrading to premium services

Please note, we have discontinued our Premium Services and it is no longer possible to purchase a Premium Service Subscription. This section applies to existing subscriptions only.

    • an Individual User (in which case clauses 6 and 7 will apply); or
    • an Institutional User (in which case clause 8 will apply).
  4. The order process for Our Premium Services allows You to check and amend any errors before You place Your order. Please check the order carefully before submitting it. You are responsible for ensuring that the details You provide to Us are complete and accurate.

6. Upgrading to premium services - individual users

Please note, we have discontinued our Premium Services and it is no longer possible to purchase a Premium Service Subscription. This section applies to existing subscriptions only.

If You are an Individual User, You can upgrade to Our Premium Services at any time by following the instructions.

  1. An order placed by You to upgrade to Our Premium Services is an offer to You to subscribe such services subject to these Terms.
  2. After You place an order to upgrade to Our Premium Services (by clicking subscribe), We will accept it once We have:at which point and on which date (“Individual User Commencement Date”) We will grant You a non-transferable, non-exclusive, revocable, non-sub-licensable licence to use the Premium Services through a generally available web browser, mobile device or authorised application, for Your personal use (albeit in connection with Your trade, craft, business or profession). Once we have accepted Your order You will be able to access Our Premium Services using Your existing log-in details.
    • successfully taken payment of the first year’s Subscription Fee (see clause 7 below); and
    • sent You an order confirmation by email,
  3. Your subscription to Our Premium Services will last for one year from the Individual User Commencement Date (the “Individual User Term”), and will renew on an annual basis thereafter in accordance with this clause 6 (each renewal period being a “Renewal Term”).
  4. Your subscription to Our Premium Services will automatically renew for a further year on each anniversary of the Individual User Commencement Date (the “Renewal Date”unless You have informed Us that You wish to cancel Your subscription to Our Premium Services (as referred to in clause 6.e).
  5. No later than three weeks prior to each Renewal Date We will send You an email reminding You that Your subscription is due for renewal. If You want Your subscription to continue, there is nothing that You will need to do. However, if You want to cancel Your subscription to Our Premium Services, You must follow the instructions as set out in Our email.

7. Payment

Please note, we have discontinued our Premium Services and it is no longer possible to purchase a Premium Service Subscription. This section applies to existing subscriptions only.

Payment of the Subscription Fee is annually in advance. We will take the first Subscription Fee on the day We accept Your order, and annually thereafter until You cancel.

Your subscription will automatically renew annually. We will let You know before renewal that renewal is going to take place, and will tell You how You can cancel if You want to.

Apolitical's Terms & Conditions

  1. This clause applies only to Individual Users subscribing to Our Premium Services.
  2. The total amount payable for Your annual subscription to Our Premium Services will be the amount as specified on the Website at the time You submit Your order (and in respect of any Renewal Term, as set out in Our email referred to in clause 6.e) (such amount being the “Subscription Fee”).
  3. The Subscription Fee as specified on the Website is inclusive of VAT.
  4. Payment of the Subscription Fee is annually in advance. We will collect the first years’ Subscription Fee on the date We accept Your order, and annually thereafter on each Renewal Date, until such time as You cancel Your subscription in accordance with clauses 6.e or 9.
  5. You can pay the Subscription Fee using a debit, or credit card.

8. Upgrading to premium services - institutional users

Please note, we have discontinued our Premium Services and it is no longer possible to purchase a Premium Service Subscription. This section applies to existing subscriptions only.

If You are an Institutional User, You can use an Access Code to upgrade to Premium Services.

  1. If the organisation or institution of which You are a part has provided You with an Access Code to upgrade from Standard Services to Our Premium Services, You can redeem that Access Code by following the onscreen instructions and prompts here.
  2. On entering the Access Code, and clicking ‘Apply’ and ‘Start Learning’, You are placing an order for Our Premium Services subject to these Terms.
  3. Our acceptance of Your order will occur when We send You an order confirmation by email at which point and on which date (the “Institutional User Commencement Date”) We will grant You a non-transferable, non-exclusive, revocable, non-sub-licensable licence to use Our Premium Services through a generally available web browser, mobile device or authorised application, for Your personal use (albeit in connection with Your trade, craft, business or profession). Once we have accepted Your order You will be able to access Our Premium Services using Your existing log-in details.
  4. Your subscription to Our Premium Services will last for one year from the Institutional User Commencement Date (the “Institutional Term”), and will terminate immediately without notice on the expiry of the Institutional Term (unless You have cancelled Your subscription to Our Premium Services in accordance with clause 9 prior to the expiry of the Institutional Term, in which case Your subscription will terminate when You cancel Your subscription).

9. Ending your subscription for premium users

Please note, we have discontinued our Premium Services and it is no longer possible to purchase a Premium Service Subscription. This section applies to existing subscriptions only.

Plain English

You can end Your subscription at any time. However, if You are an Individual User, You will not receive any refund for any unused Term. If You are an Institutional User, You will not be able to use Your Access Code again.

Apolitical's Terms & Conditions

  1. Whether You are an Individual User or an Institutional User, You can cancel Your subscription to Our Premium Services at any time by emailing Us at concierge@apolitical.co
  2. On cancellation of Your subscription, Your access to Our Premium Services shall end at the end of the Individual Term (if You are an Individual User) or the Institutional Term (if You are an Institutional User) and:
    • if You are an Individual User, You shall not be due any refund of any Subscription Fee in respect of any of the Individual User Term, or Renewal Term, still to run following Your cancellation; or
    • if You are an Institutional User, You shall not be able to re-subscribe to Our Premium Services using the Access Code provided to You by Your organisation or institution.
  3. On cancellation of Your subscription, the licence We granted to You at clause 6 (for Individual Users) or clause 8 (for Institutional Users) shall terminate immediately. Your access to the Standard Services shall not be affected, and these Terms shall continue to apply to Your use of the Standard Services.

10. Terminating your subscription

Please note, we have discontinued our Premium Services and it is no longer possible to purchase a Premium Service Subscription. This section applies to existing subscriptions only.

We may terminate Your subscription for Premium Services at any time if You are in breach of the Terms.

Further, if You are an Institutional User, the organisation to which You belong may at any time terminate Your subscription to Premium Services

  1. We may at any time, immediately on notice, terminate Your subscription to Our Premium Services if You are in breach of these Terms. In such circumstances, it shall be as if You cancelled Your subscription and the terms of clauses 9.b and 9.c shall apply.
  2. Further, if You are an Institutional User, the organisation/ institution to which You belong may unilaterally terminate Your subscription to Our Premium Services. If this occurs, Your access to Our Premium Services may cease immediately from the date of termination.

11. Privacy policy

We treat Our Users’ personal information with paramount importance, as set out in Our Privacy Policy.

We take Your privacy very seriously. We will only use Your personal information in accordance with the terms of Our Privacy Policy. By using the Service, You acknowledge and agree that You have read and accept the terms of Our Privacy Policy and these Terms.

12. Disclaimer/liability

Please note that use of the service is at Your own risk. Apolitical is not liable for any of the following damages arising through use of the service:

  • Technical failure
  • Damage to Users or their equipment
  • Economic loss
  • Loss of goodwill
  • Actions of third parties

Apolitical will not be liable, in contract, tort (including, without limitation, negligence), under statute or otherwise, as a result of or in connection with the Service, for any: (i) economic loss (including, without limitation, loss of revenues, loss of profits, loss of contracts, loss of business, loss of data or loss of anticipated savings); or (ii) loss of goodwill or reputation; or (iii) special, indirect or consequential loss
  3. Apolitical is not responsible for the actions, Content, information, or data of third parties, and You release Us, Our directors, officers, employees and agents from any claims, known or unknown arising out of or in connection with any claim You may have against any third party.
  4. If Apolitical is liable to You directly or indirectly in relation to the Service, that liability (howsoever arising) shall be limited to: (i) in respect of subscribers to Our Standard Services, or Institutional Users, £100; and (ii) in respect of Individual Users, a sum equal to the Subscription Fee.
  5. Nothing in these Terms shall be construed as excluding or limiting the liability of Apolitical for death or personal injury caused by its negligence or for any other liability which cannot be excluded by English law.

Apolitical’s failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Apolitical in writing. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any right or remedy.
  6. Unless otherwise expressly stated, nothing in these Terms shall create any rights or any other benefits whether pursuant to the Contracts (Rights of Third Parties) Act 1999 or otherwise in favour of any person other than You and Apolitical.
  7. These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms, shall be governed by and construed in accordance with English law and You agree to submit to the exclusive jurisdiction of the English courts.
